How the Clinix and NHIF contract dispute unfolded

Parliament examined Clinix's payments and ownership, hearing from Jayesh Saini, who introduced himself as its chairman. The dispute led to criminal proceedings and a separate civil claim against NHIF. The High Court's 2022 judgment records earlier criminal acquittals, awards Clinix payment under its pilot contract and rejects its later-contract claim.

Clinix receives the first-quarter payment

Clinix told the 2012 committee that NHIF released about KSh202.16 million in March, after the quarter had begun. The later parliamentary report identifies the payment as KSh202,161,187.50 for the first quarter. This was a payment to the provider, not a judicial finding of money lost.

Statement

Clinix disputes the branch-by-branch payment account

In evidence recorded by the 2012 committee, Clinix said its payment depended on the members who selected it, rather than the number of branches. It disputed NHIF's branch payment schedule and said it used third-party providers where it had no outlet.

Clinix executives and NHIF officials face criminal charges

The 2015 judgment records charges against Clinix, its chief executive Toddy Madahana and director Anthony Kalathil Chacko, alongside former NHIF chief executive Richard Langat Kerich and NHIF officials Marwa Fadhili Chacha and David Kipruto Chingi, in Anti-Corruption Case 18 of 2013. Prosecutors alleged a conspiracy involving KSh96,565,125 and capacity to provide services outside Nairobi. The 2022 civil judgment records acquittals in that case.

Clinix presses its claim for unpaid services

Clinix operations director James Kinyua told the Health Committee that Clinix had continued providing services during the second quarter despite non-payment. Ruling

Clinix wins the pilot-contract payment but loses its later-contract claim

Justice M. W. Muigai awarded Clinix KSh16,522,666 with interest and costs under the first contract. The court rejected the KSh202,161,187.50 claim under the second contract for lack of the required proof of services and returns, upheld termination for Clinix's contractual breaches, and refused its additional damages claims. The award does not establish that payment was subsequently made.
